Agreement to Terms

By accessing or using Vibedasher ("the Service", "the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

Description of Service

Vibedasher is a Business Intelligence platform that provides:

  • Data visualization and dashboard creation tools
  • AI-powered analytics and insights
  • Integration with 50+ data sources
  • Real-time collaboration features
  • Cloud-hosted and on-premise deployment options

Account Registration

Eligibility

You must be at least 16 years old and capable of forming a binding contract to use Vibedasher.

Account Security

  • You are responsible for maintaining the confidentiality of your account credentials
  • You agree to notify us immediately of any unauthorized access
  • You are responsible for all activities that occur under your account
  • You must provide accurate and complete registration information

Organization Accounts

For team or enterprise accounts:

  • The account owner represents that they have authority to bind the organization
  • The organization is responsible for all actions of its users
  • User access and permissions are managed by the account administrator

Acceptable Use

Permitted Use

You may use Vibedasher for:

  • Creating data visualizations and business intelligence reports
  • Analyzing data from integrated sources
  • Collaborating with team members
  • Embedding visualizations on your websites or applications

Prohibited Activities

You agree NOT to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to the Service or other accounts
  • Use the Service to spam, phish, or distribute malware
  • Reverse engineer, decompile, or disassemble the platform (except as permitted by law)
  • Scrape, data mine, or extract data using automated means without permission
  • Resell or redistribute the Service without authorization
  • Use the Service for cryptocurrency mining or similar resource-intensive activities
  • Impersonate others or misrepresent your affiliation
  • Interfere with or disrupt the Service or servers

Subscription Plans and Billing

Cloud Subscription

Pay-As-You-Go Pricing:

  • Charges based on actual usage (AI tokens, compute, storage, network transfer)
  • Billed monthly in arrears
  • Minimum charge of $0 (free tier available)
  • Pricing details available at vibedasher.com/pricing

Payment Terms:

  • Payment is due upon receipt of invoice
  • We accept major credit cards and ACH transfers
  • Late payments may result in service suspension
  • All fees are non-refundable except as required by law

On-Premise License

Annual License: $9,999/year

  • One-time setup and installation support
  • Annual software updates and security patches
  • Technical support via email and chat
  • Renewal required for continued updates and support

Price Changes

We reserve the right to change pricing with:

  • 30 days' notice for existing customers
  • Immediate effect for new customers
  • Grandfathered pricing may be offered at our discretion

Data and Content

Your Data

  • You retain all rights to data you upload or connect to Vibedasher
  • You grant us a license to process and display your data as necessary to provide the Service
  • You represent that you have the right to use and share all data you provide
  • You are responsible for backing up your data

Our Content

  • The Service, including all software, features, and designs, is owned by Vibedasher
  • We grant you a limited, non-exclusive, non-transferable license to use the Service
  • Our trademarks, logos, and brand materials may not be used without permission

User-Generated Content

  • Content you create (dashboards, reports, visualizations) belongs to you
  • You can delete your content at any time
  • We may use anonymized and aggregated content for improving the Service

Intellectual Property

Ownership

Vibedasher and its licensors own all rights, title, and interest in:

  • The platform software and infrastructure
  • All patents, copyrights, trade secrets, and trademarks
  • Documentation, logos, and brand materials
  • AI models and algorithms (excluding third-party models)

Feedback

If you provide suggestions, feedback, or ideas:

  • You grant us a perpetual, worldwide, royalty-free license to use them
  • We are not obligated to implement feedback
  • We don't owe compensation for feedback used

Third-Party Services

Integrations

Vibedasher integrates with third-party services (databases, cloud providers, AI services):

  • Your use of third-party services is governed by their terms
  • We are not responsible for third-party service availability or changes
  • You are responsible for maintaining necessary licenses and permissions

AI Services

When using AI-powered features:

  • Your prompts may be sent to third-party AI providers (OpenAI, Anthropic, Google)
  • On-premise deployments can use your own AI models
  • We don't use your data to train AI models without explicit consent
  • AI-generated content may not be accurate and should be verified

Service Availability

Uptime Guarantee

Cloud Service:

  • 99.9% uptime SLA for paid plans
  • Scheduled maintenance with advance notice
  • Credits for downtime exceeding SLA (see SLA document)

On-Premise:

  • Availability depends on your infrastructure
  • We provide technical support for installation and configuration

Service Modifications

We reserve the right to:

  • Modify or discontinue features with notice
  • Perform maintenance and updates
  • Temporarily suspend service for security or legal reasons

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE"
  • WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED
  • WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
  • OUR TOTAL LIABILITY IS LIMITED TO THE AMOUNT YOU PAID IN THE PAST 12 MONTHS
  • SOME JURISDICTIONS DO NOT ALLOW LIABILITY LIMITATIONS, SO THESE MAY NOT APPLY TO YOU

Specific Exclusions

We are not liable for:

  • Data loss (maintain your own backups)
  • Third-party service failures
  • AI-generated content accuracy
  • Security breaches beyond our control
  • Your misuse of the Service
  • Decisions made based on analytics or visualizations

Indemnification

You agree to indemnify and hold harmless Vibedasher, its officers, directors, employees, and agents from:

  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your use of the Service
  • Content you submit or share

Termination

By You

  • You can terminate your account at any time from account settings
  • Cloud subscriptions end at the end of the current billing period
  • On-premise licenses are non-refundable

By Us

We may suspend or terminate your account if:

  • You violate these Terms
  • Your payment fails
  • Required by law
  • The Service is discontinued

Effect of Termination

Upon termination:

  • Your access to the Service ends immediately
  • We may delete your data after 90 days (export before termination)
  • Outstanding fees remain due
  • Provisions that should survive termination will continue (e.g., indemnification, limitations)

Dispute Resolution

Governing Law

These Terms are governed by the laws of Jurisdiction, without regard to conflict of law provisions.

Arbitration

For disputes over $10,000:

  • Disputes will be resolved through binding arbitration
  • Arbitration will be conducted by Arbitration Organization
  • Location: City, State/Country
  • You waive the right to a jury trial and class actions

Exceptions

Either party may seek injunctive relief in court for:

  • Intellectual property infringement
  • Breach of confidentiality
  • Violation of usage restrictions

General Provisions

Entire Agreement

These Terms, along with our Privacy Policy and any plan-specific agreements, constitute the entire agreement.

Modifications

We may modify these Terms by:

  • Posting updated Terms with a new "Last Updated" date
  • Notifying you via email or in-app notification
  • Giving you 30 days to object (continued use means acceptance)

Severability

If any provision is found unenforceable, the remaining provisions continue in effect.

No Waiver

Failure to enforce any provision does not waive our right to enforce it later.

Assignment

You may not assign these Terms without our consent. We may assign them to an affiliate or successor.

Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control (natural disasters, war, pandemics, etc.).

Export Compliance

You agree to comply with all export and import laws and regulations.

  • You provide your own infrastructure
  • We may require access for support (with your permission)
  • Custom integrations may require additional fees

By using Vibedasher, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
